As Governance & Board Affairs Manager, you will act as a strategic advisor and process driver, supporting both the Board of Directors and the Management Team (MT). You will ensure our governance framework is future-proof, compliant, and aligned with Connex’s mission to accelerate the energy transition.
Key Responsibilities:
Governance & Board Affairs
- Coordinate and report on Board and MT meetings, ensuring effective follow-up.
- Serve as Liaison Officer to the Advisory Board.
- Support strategic decisions with structured documentation and governance advice.
- Develop and maintain compliance frameworks and internal policy documentation.
- Conduct regular one-on-one meetings with Board and MT members to assess and, where relevant, improve the functioning of these governance bodies.
Legal & Compliance Oversight
- Safeguard legal integrity by monitoring internal compliance and relevant regulations.
- Maintain governance archives and manage legal documentation processes.
- Liaise with internal and external stakeholders on legal and procedural matters.
Communication & Leadership Support
- Facilitate clear and structured communication between leadership levels.
- Prepare decision documents and reports to support cross-functional alignment.
- Coordinate onboarding and evaluations for Board-, MT-, and Advisory Board members.
You will report to the Corporate Director and, where relevant, communicate directly with the Chair of the Advisory Board.
Who are you?
What you bring: expertise, ethics, and execution
We’re seeking a professional with strong governance and legal insight, capable of bridging complex organisations while maintaining independence and discretion. You combine a keen eye for detail with strategic thinking, and you know how to navigate diverse stakeholders with tact and confidence.
Your Background:
- At least 5 years of experience in a position where governance, compliance and/or administrative legal support were central.
- Experience in corporate structuring, change management, or leadership support.
- Strong understanding of organisational and governance dynamics, with awareness of political and administrative relationships.
- Familiar with international organisations or those experiencing rapid expansion, with an international focus.
- Knowledge of ESG and sustainability governance.
- Understanding of corporate governance codes and related frameworks.
- Fluent in English (spoken and written); proficiency in Dutch is highly advantageous.
Personal Qualities:
- Effective communicator and innate bridge-builder across organisational levels and international contexts.
- High standards of integrity, accuracy, and ethical awareness.
- Proactive attitude with a strong sense of responsibility (ownership).
- Ability to organise complex topics and promote continuous improvement (innovation).
- Experienced in or sensitive to stakeholder management, with natural impact and influence.
